Lead Legal Counsel, Lending Partnerships

Provides commercial legal counsel by drafting and negotiating SaaS, data, vendor, and other technology agreements while partnering with business and risk teams. Requires a J.D., active bar membership, and at least five years of transactional experience.

Responsibilities

  • Serve as commercial counsel for vendor and general commercial contracts, including SaaS, data, auto dealer software, and other third-party agreements.
  • Provide practical, risk-aligned guidance that keeps deals moving.
  • Collaborate with Procurement, Third-Party Risk Management, Information Security, Product, Finance, and other internal clients.
  • Review, draft, and negotiate commercial agreements, including master service agreements, software licenses, statements of work, data protection agreements, professional services agreements, and procurement contracts.
  • Manage deal flow through tools such as Zip and Ironclad, escalate issues appropriately, and streamline intake, approvals, and closing processes.
  • Create scalable playbooks, templates, and training for Procurement and business teams.

Requirements

  • J.D. degree with solid academic credentials and active state bar membership; New York or California preferred.
  • 5+ years of transactional experience at a law firm and/or in-house, focused on technology and commercial contracts.
  • Experience with complex SaaS, technology, data, vendor, privacy, security, and data-use agreements.
  • Strong negotiation, analytical judgment, communication, consensus-building, and stakeholder-management skills.
  • Ability to translate complex legal and risk concepts into clear, actionable guidance.
  • Solutions-oriented mindset, strong ownership, and ability to manage complex matters under time pressure.

Nice-to-haves

  • In-house experience at a fintech, financial services, or technology company.
  • Startup or high-growth company experience.
  • Experience leading complex SaaS, data, or infrastructure vendor negotiations.
  • Experience with regulated industries or regulated financial institutions.
  • Interest in mentoring teammates and building efficient, scalable legal processes.
  • Curiosity about AI, data issues, new products, and unfamiliar areas of law.

Compensation and Benefits

  • Anticipated base salary: $152,000–$210,400 USD, varying by geographic compensation region.
  • Target bonuses, equity compensation, medical, dental, vision, and 401(k) benefits.
  • Digital-first work environment with remote work and periodic team onsites.
