Senior Corporate Paralegal

Supports public-company legal operations, SEC reporting, securities compliance, corporate governance, board administration, and subsidiary management. The role requires substantial corporate-paralegal experience, hands-on SEC and EDGAR expertise, and hybrid work from San Francisco or Atlanta.

Responsibilities

SEC Compliance & Public Company Reporting

  • Assist with preparing, reviewing, and filing periodic SEC reports through EDGAR, including Forms 10-K, 10-Q, 8-K, and quarterly and annual proxy statements.
  • Draft, file, and track Section 16 Forms 3, 4, and 5 for officers and directors.
  • Maintain equity-tracking records and Section 16 compliance logs.
  • Support annual stockholder meetings, including proxy distribution, inspector-of-election coordination, and meeting logistics.
  • Assist with insider-trading compliance, pre-clearance requests, quarterly blackout windows, and Rule 10b5-1 trading-plan administration.

Corporate Governance & Board Administration

  • Prepare and schedule board and committee materials, agendas, resolutions, and meeting minutes.
  • Manage the Nasdaq Boardvantage board portal.
  • Maintain state qualifications, annual reports, foreign registrations, registered-agent records, entity lifecycle matters, and minute books for domestic and international subsidiaries.
  • Coordinate annual director and officer questionnaire processes.
  • Maintain director and officer independence assessments.

General Corporate & Special Projects

  • Manage certificates of insurance, subsidiary workflows, and earnings-call customer permissions.
  • Collaborate with Finance, Accounting, Investor Relations, Stock Plan Services, and HR on recurring compliance and transactional matters.

Requirements

  • Significant hands-on experience as a corporate paralegal supporting public-company operations.
  • Direct experience with SEC filings, including Forms 10-K, 10-Q, 8-K, Section 16 Forms 3, 4, and 5, proxy statements, and EDGAR submissions.
  • Experience with board-portal management, subsidiary entity maintenance, and corporate record-keeping.
  • Based in or willing to work hybrid from San Francisco, CA or Atlanta, GA.

Nice-to-Haves

  • Experience at a top-tier law firm supporting public-company practitioners combined with in-house corporate legal experience at a publicly traded technology or SaaS company.
  • Experience with Nasdaq Boardvantage or similar board-management software.
  • Experience with equity-tracking tools, Section 16 software, and entity-management platforms.

Compensation & Benefits

  • Base salary range: $114,000–$191,400 USD.
  • May be eligible for bonus, commission, equity, and benefits.
  • Benefits may include comprehensive health coverage, flexible work arrangements, company equity, ESPP, retirement or pension plans, paid vacation and holidays, wellness days, paid parental leave, paid volunteer time, hack weeks, and mental wellness programs.
  • Required to work from the San Francisco office two days per week.
