Responsibilities
- Negotiate and manage high volumes of pre-M&A contracts, including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters.
- Liaise directly with counterparties while meeting agreed turnaround times.
- Serve as the primary day-to-day contact for sophisticated investment fund and asset manager clients.
- Build trusted-advisor relationships with clients.
- Maintain and update client playbooks to ensure consistency and quality across negotiations.
- Collaborate with and mentor junior lawyers and paralegals, review their work, and contribute to a high-performing team culture.
- Identify opportunities to improve Carta’s legal technology suite using AI-backed tools.
Requirements
- 4+ years of post-law-school corporate or transactional law experience.
- Demonstrated ability to independently negotiate pre-M&A contracts, including NDAs, NRLs, joinders, and engagement letters.
- Experience working with asset managers, investment banks, or other financial services firms.
- Law degree and license to practice law in the United States or Canada.
- Strong commercial judgment, client focus, communication, prioritization, and adaptability.
- Comfort using and evolving legal technology tools.

Compensation
- Denver, CO: $119,000–$148,750 expected cash compensation.
- Sandy, UT: $112,000–$140,000 expected cash compensation.
- Seattle, WA: $133,000–$166,250 expected cash compensation.
- Compensation may vary based on geography, experience, expertise, and other factors. Full-time roles include equity and benefits.
