Senior Lawyer - Venture Financings
Senior legal counsel will manage early-stage venture financing transactions for founders and venture capital funds, negotiate financing documents, supervise paralegals, and develop technology-enabled legal workflows. California licensure and 7+ years of relevant experience are recommended.

Responsibilities
- Serve as the primary point of contact for founders, venture capital funds, and outside counsel throughout term sheet negotiation, diligence, signing, and post-closing deliverables.
- Review and negotiate financing documents, including SAFEs, convertible notes, NVCA-form Stock Purchase Agreements, Investors’ Rights Agreements, Voting Agreements, and ROFR/Co-Sale Agreements.
- Advise on cap table, governance, and corporate matters arising from financing transactions.
- Supervise and mentor paralegals through complex early-stage financing transactions.
- Develop and evolve deal playbooks and negotiation parameters with the Managing Director across company- and fund-side engagements.
- Build relationships with founders, venture funds, accelerators, and outside counsel.
- Support business development and new client pitches alongside the Growth team.
- Partner with technology teams to improve AI-driven legal delivery tools and workflows.
Requirements
- Strong experience in emerging company and venture capital law, including SAFEs, convertible notes, and priced equity rounds.
- Ability to independently manage complex, fast-moving deal processes.
- Strong client relationship, communication, prioritization, and execution skills.
- Experience supervising paralegals and managing output across multiple simultaneous deals.
- Comfortable working with AI-backed legal tools and interested in technology-enabled legal delivery.
- Licensed to practice in California or a comparable jurisdiction.
- 7+ years of relevant experience recommended.
Compensation
- Minimum cash compensation range: $208,000–$317,000 in San Francisco.
- Equity for full-time roles and benefits are included in the compensation package.
