Senior Commercial Counsel

Senior commercial counsel will advise sales and procurement teams, negotiating SaaS and other enterprise agreements while building scalable contracting processes. The role requires a U.S.-admitted lawyer with 7+ years of commercial contracting experience and familiarity with technology, privacy, IP, or AI issues.

Responsibilities

  • Review and negotiate inbound and outbound commercial contracts, including SaaS licensing agreements, strategic partnership agreements, data processing agreements, and other contracts with enterprise customers and suppliers.
  • Develop and manage contract templates and negotiation playbooks.
  • Improve sales contracting processes in collaboration with Sales Operations.
  • Create scalable processes that support business and internal stakeholders.
  • Advise and train go-to-market teams on practical legal matters.

Requirements

  • Law degree from an accredited law school.
  • Admission to practice law in the United States.
  • 7+ years of experience negotiating commercial contracts, ideally at a SaaS company or a law firm serving technology clients.
  • Experience contracting with large enterprise companies and strategic partners, particularly in heavily regulated industries such as finance, healthcare, or insurance.
  • Exposure to privacy, intellectual property, and/or AI-related legal issues, with a basic understanding of AI.
  • Experience using contract management tools.
  • Familiarity with legal operations, project management, and contract lifecycle management tools.
  • Strong work ethic, sound judgment, adaptability, initiative, prioritization, and multitasking ability.

Nice-to-haves

  • Experience supporting a global sales team with international offices.
  • Familiarity with Asana, Salesforce, or LinkSquares.
