Responsibilities
- Negotiate and manage high volumes of pre-M&A contracts – including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters – directly liaising with counterparties and adhering to agreed turnaround times
- Serve as the primary day-to-day contact for clients, building trusted advisor relationships with sophisticated investment funds and asset managers
- Maintain and update client playbooks on an ongoing basis, ensuring consistency and quality across all contract negotiations
- Collaborate with and mentor junior lawyers and paralegals, reviewing their work and contributing to a high-performing team culture
- Contribute to the continuous improvement of Carta's legal technology suite, identifying ways to innovate using AI-backed tools
Requirements
- 4+ years of post law school corporate or transactional experience, with a track record of independently negotiating pre-M&A contracts (NDAs, NRLs, joinders, engagement letters)
- Experience working with asset managers, investment banks, or other financial services firms and understand their expectations
- Licensed to practice law in the Americas (US/Canada)
- Commercially minded and client-focused; communicate legal advice crisply and concisely
- Tech-savvy and adaptable; comfortable working with and evolving a legal technology suite (e.g. AI tools, HighQ)
- Self-starter who owns their work; thrives in a fast-paced environment, prioritizes effectively, and is always looking for ways to improve and innovate
