Responsibilities
- Review, manage, and track customer and vendor agreements, including NDAs, MSAs, SOWs, DPAs, and amendments.
- Maintain contract records and reporting through CLM systems and DocuSign.
- Review and negotiate NDAs in accordance with company policies.
- Support contract negotiations and update templates and playbooks.
- Maintain corporate records for U.S. and international subsidiaries, including board minutes, resolutions, and signatory updates.
- Coordinate with external counsel on entity formation, registrations, and compliance filings.
- Assist with management of the intellectual property portfolio, including tracking filings and maintaining records.
- Participate in corporate diligence, litigation matters, and compliance rollouts.
Requirements
- 3+ years of experience as a contract manager or paralegal; in-house experience at a technology or SaaS company is preferred.
- Strong understanding of contract management and corporate governance.
- Experience supporting international entities and coordinating with external counsel.
- Excellent organizational skills and ability to manage competing deadlines.
- Highly organized, detail-oriented, proactive, and able to maintain accuracy across multiple priorities.
- Strong communication and cross-functional collaboration skills.
- Ability to work independently in a distributed, high-trust environment.
Nice-to-haves
- Familiarity with SaaS and AI contracting considerations.
- Proficiency with CLM tools such as Ironclad, Salesforce, Asana, and DocuSign, or similar systems.
