Responsibilities
Commercial Contracts and Data Licensing
- Partner with Revenue, Sales, and Revenue Operations leadership to structure scalable commercial terms, licensing metrics, and custom deal structures.
- Draft and negotiate complex enterprise sales agreements, global data licensing agreements, API integration agreements, and multi-year platform subscriptions.
- Develop playbooks, templates, and processes that enable standard deal execution while preserving legal protections.
- Advise product and engineering teams on product launches, feature development, and data methodology changes.
Intellectual Property
- Protect intellectual property in proprietary technology, datasets, and brands.
- Coordinate trademark filings, manage the trademark portfolio, and pursue enforcement actions as needed.
- Advise on IP ownership, licensing, and usage rights for data products, metadata databases, and analytics tools.
- Evaluate IP implications of product development, data integrations, and technology partnerships.
Regulatory and Data Privacy Compliance
- Oversee compliance with GDPR, CCPA, and cross-border data transfer laws.
- Develop privacy frameworks supporting enterprise sales and data commercialization.
- Manage contractual architecture for inbound and outbound data feeds.
- Assess emerging AI, algorithmic accountability, and automated decision-making regulations.
- Manage data subject access requests, regulatory inquiries, privacy incidents, breach response, and notification procedures.
- Develop information security and cybersecurity policies with IT and security teams.
Employment, M&A, and Risk Management
- Advise on employment law, hiring, onboarding, termination, workplace policies, employee agreements, compensation, benefits, and global hiring compliance.
- Advise on mergers, acquisitions, investments, due diligence, negotiations, and post-merger integration with parent company counsel.
- Manage pre-litigation disputes, demand letters, settlements, and alternative dispute resolution.
- Select and oversee outside counsel for litigation, IP enforcement, and specialized regulatory matters.
- Advise on insurance coverage, claims, and risk transfer strategies.
Requirements
- J.D. from an ABA-accredited law school.
- Active member in good standing of the California State Bar, or eligible for California registration as Registered In-House Counsel.
- 10–12 years of corporate and transactional legal experience.
- Several years of in-house experience at a technology, data, media, or SaaS company preferred.
- Significant experience drafting and negotiating complex data licensing, SaaS, and technology agreements.
- Strong understanding of U.S. and international data privacy laws and their impact on data licensing.
- Experience partnering with Sales and Revenue Operations teams to optimize sales funnels and contract workflows.
- Experience managing strategic M&A transactions, including due diligence, negotiation, and post-merger integration.
- Technical understanding of data engineering, data pipelines, APIs, and analytics platforms.
- Familiarity with IP, licensing, and contractual issues in music, film, television, and streaming media.
Compensation
- Annual base salary: $225,000–$250,000.
