Associate General Counsel

The Associate General Counsel will lead commercial contracting, advise on fintech regulatory matters, and support corporate transactions while serving as a practical legal partner to business and technical teams. The role requires a JD, U.S. bar membership, and at least three years of post-JD experience.

Responsibilities

  • Draft, review, revise, and negotiate commercial agreements, including vendor, SaaS, technology, and NDA agreements.
  • Manage contracts through their full lifecycle and develop templates and playbooks.
  • Partner with Compliance on regulatory matters affecting investment adviser and broker-dealer businesses, including marketing review, member-facing disclosures, and policies and procedures.
  • Support responses to regulatory inquiries and examinations.
  • Provide clear, practical legal guidance to product, engineering, finance, sales, marketing, and operations teams.
  • Support corporate and transactional matters, including financings, strategic partnerships, M&A diligence, board resolutions, equity documentation, and entity records.
  • Advise Product and Engineering on legal and regulatory considerations for new products and platform capabilities.
  • Track fintech and wealth-management legal and regulatory developments.
  • Develop internal legal training and self-service resources.
  • Help manage outside counsel on specialized matters.

Requirements

  • JD from an accredited law school.
  • Active membership in at least one U.S. state bar; Virginia, Washington, DC, or Maryland preferred, or eligibility to register as in-house counsel.
  • At least 3 years of post-JD experience, including in-house experience at a technology company, financial services firm, or fintech organization.
  • Corporate/transactional or regulatory background, ideally combining law-firm and in-house experience.
  • Ability to independently draft, review, and negotiate commercial agreements at volume.
  • Strong business judgment and ability to balance legal risk with commercial objectives.
  • Excellent legal drafting and communication skills.
  • Ability to work effectively in a fast-paced startup environment and learn applicable regulatory frameworks.
