Associate Counsel

Responsibilities

• Review, redline, and negotiate customer-facing SaaS subscription agreements, order forms, NDAs, and statements of work using standard positions and playbooks.
• Review and negotiate inbound vendor and software licenses, professional services agreements, and procurement contracts.
• Maintain and update contract playbooks, fallback positions, and standard form agreements.
• Partner with Sales and Finance on contract terms affecting revenue recognition, billing structures, and deal velocity.
• Integrate approved AI productivity tools into contract review, issue spotting, drafting, and negotiation preparation.
• Answer contract questions from internal stakeholders and monitor legal developments in SaaS, AI, data privacy, and cloud technologies.

Requirements

• 1–3 years of commercial contracting experience in-house at a technology company or at a law firm with a SaaS client focus.
• J.D. and active state bar membership.
• Experience negotiating limitations of liability, indemnification, intellectual property rights, and data security terms.
• Experience with NDAs, DPAs, or BAAs.
• Ability to produce clear, concise redlines and communicate with legal, business, and technical audiences.
• Process-oriented approach and ability to manage multiple concurrent deal streams under tight timelines.
• Authorization to work in the United States.

• Experience with Ironclad or a comparable CLM platform.
• Experience at a B2B SaaS or legal technology company.
• Experience supporting a sales team in a high-growth environment.

Compensation and Benefits

• Expected salary range: $148,000–$187,000 annually.
