Associate General Counsel

The Associate General Counsel will advise a fast-growing space company across government contracting, commercial agreements, corporate governance, financings, regulatory licensing, compliance, and M&A. The role requires a J.D., active bar membership, 10+ years of legal experience, and expertise in aerospace or government contracting matters.

Responsibilities

  • Advise business, engineering, and government programs teams on day-to-day legal matters.
  • Draft, negotiate, and manage supplier, vendor, teaming, subcontract, NDA, IP license, and customer agreements.
  • Support U.S. Department of Defense government contracting, including proposal review, OTA and FAR-based negotiations, DFARS/FAR compliance, TINA and cost/pricing data requirements, and export controls.
  • Advise on space-industry regulatory and licensing matters, including FCC spectrum, NOAA remote sensing, and launch/on-orbit authorizations.
  • Support corporate governance, including board and committee materials, resolutions, written consents, entity management, Series C financing, and IPO readiness.
  • Support debt and equity financings, including credit facilities, private placements, and SAFEs.
  • Support M&A transactions, acquisitions, divestitures, joint ventures, and strategic investments.
  • Support compliance programs covering CUI, CMMC readiness, delegations of authority, records retention, FAR, ITAR, and SOX-related frameworks.
  • Assist with privacy and data protection matters, including privacy policies and state privacy law compliance.
  • Manage outside counsel across export control, intellectual property, litigation, employment, and capital markets matters.
  • Develop internal legal processes, templates, and playbooks.

Requirements

  • J.D. from an accredited law school.
  • Active bar membership in good standing; California bar membership or ability to obtain California registered in-house counsel status.
  • 10+ years of relevant legal experience, including law firm and in-house experience.
  • Experience with U.S. government contracting, FAR/DFARS compliance, and ITAR/EAR export controls.
  • Strong commercial contracting experience with complex technology, supply chain, and services agreements.
  • Working knowledge of Delaware corporate law and corporate governance for venture-backed companies.
  • Ability to obtain and maintain a U.S. security clearance.
  • Excellent judgment, communication, prioritization, and business-advisory skills.

Nice-to-haves

  • Satellite, launch, aerospace, defense, or broader space-industry experience.
  • Experience with late-stage financing or IPO readiness.
  • Familiarity with CMMC, NIST 800-171, and CUI handling requirements.
  • FCC spectrum licensing or NOAA remote sensing licensing experience.
  • Active U.S. security clearance.

  • Base salary of $220,000-$260,000, plus company stock.
