Corporate Counsel

Provides transactional, compliance, risk, and dispute-support counsel across business teams, with responsibility for negotiating diverse commercial agreements and improving legal workflows through AI. Requires a JD, Illinois or Tennessee licensure eligibility, and at least five years of relevant experience.

Responsibilities

  • Support the Senior Counsel in providing comprehensive legal support to business regions or practice groups.
  • Advise stakeholders on contract-related issues, compliance matters, and risk assessments.
  • Help develop and execute legal strategies that protect and advance company operations.
  • Draft, review, and support negotiations for commercial contracts, including SaaS, client, procurement, information technology, government, commercial leasing, and consulting agreements.
  • Champion AI tools to improve legal-team workflow efficiency.
  • Coordinate business disputes and assist with outside-counsel management.
  • Support the Senior Counsel and other attorneys within the legal department.

Requirements

  • Juris Doctor (JD) degree.
  • Active license or eligibility to practice law in Illinois or Tennessee.
  • 5+ years of progressive experience in a corporate law department or business/transactional law-firm practice.
  • Experience with management, operating, technology, and procurement agreements.
  • Ability to adopt and champion AI tools.
  • Strong transactional and legal writing skills.
  • Practical decision-making, problem-solving, prioritization, and communication skills.
  • Ability to manage multiple priorities and tight deadlines in a collaborative environment.

Nice-to-haves

  • SaaS contract drafting and negotiation experience.
  • Commercial leasing experience.
  • Prior in-house legal department experience.

Compensation and Benefits

  • Anticipated base salary: $140,000.00–$160,000.00 USD annually.

  • Corporate team members are expected to work onsite at least four days per week.
