Legal Counsel - Corporate

Legal Counsel supporting corporate finance, debt financings, capital markets, and strategic transactions from term sheet through closing, as well as covenant compliance and entity management. Requires a J.D., active bar admission, and 7–10 years of transactional legal experience.

Responsibilities

  • Execute corporate financing, capital markets, and strategic transactions, including revolving credit facilities, asset-backed term loans, and structured finance, from term sheet through closing.
  • Advise Finance stakeholders on contract terms, legal and business risks, and transaction matters.
  • Draft, review, structure, and negotiate term sheets and definitive agreements, including credit agreements, purchase agreements, parent guarantees, security packages, ancillary documents, and disclosure schedules.
  • Support due diligence and manage document flow and closing logistics across outside counsel and internal teams.
  • Support ongoing covenant compliance.
  • Support entity formations, intercompany transactions, and related corporate functions.
  • Maintain organized internal deal files and develop standardized templates.
  • Communicate complex legal concepts clearly to legal and non-legal audiences while coordinating outside counsel and internal teams.

Requirements

  • Juris Doctor (J.D.) from an accredited law school.
  • Active bar admission in any state.
  • 7–10 years of transactional legal experience, including significant and progressive experience in complex corporate and finance transactions at a top-tier law firm or in-house legal department.
  • Expertise drafting, structuring, and negotiating loan or other financing documentation.
  • Strong business judgment and ability to balance legal risks with commercial objectives.
  • Strong working knowledge of corporate governance and compliance best practices.
  • Ability to manage multiple high-stakes workstreams in a fast-paced environment.
  • Ability to handle sensitive and confidential information professionally.
  • Proficiency with Google Workspace, Microsoft Office, and AI tools.
  • Highly collaborative, adaptable, and detail-oriented approach.

Nice-to-Haves

  • Experience at a startup, AI company, digital infrastructure company, or high-growth venture business.
  • Understanding of real estate transactions, construction or construction finance, and project development.
  • Experience working with investment banks, capital markets desks, institutional lenders, or investors.

  • Compensation range: $220,000–$260,000 plus bonus.
