Contracts Lawyer

Negotiates high volumes of pre-M&A contracts for investment fund and asset manager clients, manages matters through execution, and maintains client-specific playbooks. The role requires UK, European, US, or Canadian legal licensure, 3+ years of PQE, strong commercial judgment, and contract-technology proficiency.

Responsibilities

  • Independently negotiate and execute high volumes of pre-M&A contracts, including NDAs, NRLs, joinders, and engagement letters, while liaising directly with counterparties against agreed SLAs.
  • Serve as the primary day-to-day contact for investment fund and asset manager clients.
  • Maintain and evolve client-specific contract playbooks to ensure consistency and quality across negotiations.
  • Mentor junior lawyers and paralegals, review their work, and contribute to a high-performing team culture.
  • Use and continuously improve legal technology tools, including Carta Ava and HighQ, to increase speed and consistency.
  • Manage the full contract lifecycle from initial review through execution and system logging.

Requirements

  • Licensed to practise law in the UK, Europe, US, or Canada.
  • 3+ years of post-qualification experience (PQE).
  • Experience independently negotiating pre-M&A contracts such as NDAs, NRLs, joinders, and engagement letters in a financial services legal environment.
  • Ability to build trusted advisor relationships with investment fund and asset manager clients.
  • Ability to communicate legal advice clearly and balance legal risk against business objectives.
  • Proficiency with AI-backed contract review tools, CLM systems, and e-signature systems.
  • Experience mentoring junior lawyers and paralegals.
  • Ability to take ownership in a fast-paced, collaborative environment.
