Provides high-volume pre-M&A contract negotiation and lifecycle management for investment funds and asset managers across APAC. The consultant advises clients, maintains playbooks, mentors junior legal professionals, and improves AI-supported legal technology processes.

Responsibilities
- Negotiate and manage high volumes of pre-M&A contracts, including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters.
- Liaise directly with counterparties and adhere to agreed turnaround times.
- Serve as the primary day-to-day contact for clients, building trusted advisor relationships with sophisticated investment funds and asset managers.
- Maintain and update client playbooks to ensure consistency and quality across contract negotiations.
- Collaborate with and mentor junior lawyers and paralegals, reviewing their work and contributing to a high-performing team culture.
- Contribute to continuous improvement of Carta’s legal technology suite, including identifying opportunities to innovate with AI-backed tools.
Requirements
- 6–8+ years of post-qualification experience (PQE).
- Track record of independently negotiating pre-M&A contracts, including NDAs, NRLs, joinders, and engagement letters.
- Experience working with asset managers, investment banks, or other financial services firms.
- Law degree and a license to practice law in an APAC jurisdiction.
- Based in an APAC time zone.
- Commercially minded, client-focused, and able to communicate legal advice crisply and concisely.
- Comfortable working in a fast-paced environment, prioritizing effectively, owning work, and driving process improvements.

- Interest in legal technology or artificial intelligence.
- Experience with AI tools and HighQ.
