Responsibilities
- Draft, review, and negotiate data licensing agreements across market and alternative data, with particular attention to commercial terms, usage rights, derived data, user obligations, audit, and exit options.
- Lead technology procurement contracting: SaaS, cloud and data center agreements, software licenses, and professional services.
- Help build and maintain templates, playbooks, intake processes, and contract tracking; bring discipline and institutional memory to a high-volume docket.
- Manage the NDA program and the intellectual property terms within commercial agreements, including but not limited to derived data, open source, and AI use compliance.
- Work alongside senior counsel on ad hoc corporate matters as capacity allows. Potential exposure to the full range of legal work at an algorithmic trading firm.
Requirements
- JD; admitted to practice in NY (or eligible for in-house registration).
- 1–3 years of relevant experience at a law firm, in-house at a financial services or technology company, or a combination.
- Demonstrated drafting and negotiation skill in commercial technology contracts, with focus or strong interest in data and technology transactions.
- Familiarity with one or more of: market and exchange data licensing, SaaS and cloud agreements, trade secrets protection, and IP licensing.
- Strong commercial judgment; comfort working directly with business and research colleagues.
