Legal Counsel
Provides legal counsel on commercial agreements, IP protection, and data privacy for a high-growth AI startup. Drafts/negotiates contracts, advises cross-functionally, and supports strategic initiatives with 6+ years experience required.

Responsibilities
- Draft, review, and negotiate commercial agreements including SaaS agreements, MSAs, enterprise agreements, licensing agreements, vendor agreements, reseller agreements, partnership agreements, Order Forms, DPAs, NDAs, and services agreements.
- Advise on commercial, intellectual property, and data privacy matters related to product development, partnerships, customer relationships, and business operations.
- Review and negotiate data processing agreements (DPAs) and advise on compliance with US data privacy laws including CCPA/CPRA.
- Support intellectual property strategy, including trademark, copyright, patent, trade secret, and IP ownership.
- Assist with open-source software compliance, employee/contractor IP assignment, and IP diligence.
- Build and maintain legal templates, negotiation playbooks, internal policies, and scalable contracting workflows.
- Provide practical legal advice balancing risk and business objectives.
- Monitor legal/regulatory developments in commercial law, IP, SaaS, and data privacy.
- Support fundraising, due diligence, and strategic corporate initiatives.
- Manage external counsel.
Requirements
- Admitted to and in good standing with the bar of at least one US state.
- 6+ years of relevant legal experience, ideally at a law firm and in-house at a startup/tech company.
- Strong experience with SaaS agreements, MSAs, enterprise agreements, NDAs, DPAs, Order Forms, and commercial contracts.
- Solid understanding of US data privacy laws including CCPA/CPRA.
- Experience with IP matters: trademarks, patents, copyright, licensing, ownership.
- Excellent drafting, negotiation, communication skills with pragmatic approach.
- Strong commercial judgment, ability to manage priorities in fast-paced environment.
- Cross-functional collaboration skills.

- Experience with legal automation, templates, workflows.
- Background in software, AI/ML, or tech industries.
