Corporate Counsel
Corporate Counsel will lead M&A, investments, financings, equity programs, global expansion, governance, and public-readiness initiatives while partnering with Finance, People, Operations, and outside counsel. The role requires a J.D., U.S. state bar membership, and at least six years of relevant legal experience.

Responsibilities
- Lead legal work for acquisitions, strategic investments, joint ventures, and other corporate transactions through the full lifecycle, including post-closing integration and restructuring.
- Partner with Finance and Operations on deal strategy and execution, providing clear recommendations to stakeholders.
- Support fundraising, including diligence, financing documents, side letters, investor rights, and coordination with outside counsel.
- Advise Finance and People on equity programs, including option and RSU grants, plan amendments, cap table hygiene, 409A processes, secondaries, and tender offers.
- Partner with Finance, Tax, and Operations on global expansion.
- Advise on securities law matters relevant to a fast-scaling private company.
- Support corporate governance and entity matters, including approvals and subsidiary formation.
- Build and improve templates, playbooks, diligence checklists, approval workflows, and signing and closing infrastructure.
- Provide pragmatic, commercially focused legal advice to cross-functional teams.
Requirements
- J.D. and active membership in at least one U.S. state bar.
- 6+ years of relevant post-qualification legal experience at a major law firm, high-growth technology company, or both.
- Track record drafting and negotiating M&A and investment documents, including purchase agreements, term sheets, disclosure schedules, ancillary deal documents, and post-acquisition integration matters.
- Experience with venture or growth-stage financings and related securities law questions.
- Working knowledge of equity compensation, plan administration, grant mechanics, and liquidity events such as secondaries and tender offers.
- Strong corporate generalist, governance, and entity experience.
- Excellent communication, stakeholder management, project management, and problem-solving skills.
- Ability to work independently and manage multiple transactions in fast-paced environments.
