Commercial Counsel
Commercial Counsel will negotiate high-volume B2B SaaS customer contracts and advise Sales and business stakeholders on risk, privacy, security, and compliance. The role requires a JD, U.S. bar admission, and 3–5 years of legal experience with substantial commercial or transactional work.

Responsibilities
- Draft and negotiate customer-facing SaaS agreements, including MSAs, order forms, DPAs, SLAs, and related documents.
- Support commercial negotiations end-to-end, balancing customer needs with risk, operational, and compliance requirements.
- Partner with Sales and Deal Desk on mid-market and enterprise transactions.
- Manage data privacy and security aspects of deals, including DPA negotiations and customer security questionnaires.
- Build scalable contracting processes, workflows, templates, and playbooks, including AI-powered tools.
- Develop Sales training materials, self-service resources, and guidance on common contract terms.
- Advise stakeholders on contractual risk, liability, and compliance issues.
Requirements
- JD from an accredited law school and active bar membership in at least one U.S. jurisdiction.
- 3–5 years of legal experience, including at least 2 years focused on commercial or transactional work.
- Working knowledge of B2B SaaS agreements, AI addendums, SLAs, and data processing agreements.
- Ability to manage high-volume concurrent contract negotiations and prioritize under time pressure.
- Experience with or willingness to adopt AI-powered contract review and workflow tools.
- Working knowledge of GDPR, CCPA, and related privacy frameworks in commercial contracting.
- Strong relationship-building, judgment, written communication, and verbal communication skills.
Nice-to-haves
- In-house SaaS experience.
- Familiarity with HR tech, recruiting, or workforce software.
- Experience with AI/ML contract terms and emerging AI regulations.
Compensation and Benefits
- National pay range: $128,300–$166,900 USD annually.
- Additional compensation may include stock options, bonuses, merit increases, and sales commissions, depending on the role.
