Associate Commercial Counsel

Associate Commercial Counsel will negotiate and manage commercial agreements while advising sales, procurement, privacy, and other stakeholders on legal risk. The role requires a J.D., bar admission or in-house eligibility, and 2–3 years of commercial contracting experience.

Responsibilities

  • Partner with sales, account management, and legal teams to support commercial negotiations and move deals forward.
  • Review and negotiate SaaS and licensing agreements, statements of work, NDAs, vendor and procurement contracts, and partnership contracts.
  • Provide practical legal advice on contract terms, liability, indemnification, data privacy, and intellectual property provisions.
  • Manage a high volume of contracts, prioritizing by deal size, risk, and urgency.
  • Maintain and improve contract templates, playbooks, and negotiation guidelines.
  • Track contract obligations and support contract lifecycle management processes.
  • Escalate novel or higher-risk issues to senior counsel with clear analysis and recommendations.
  • Support policy updates, training materials, process improvements, and other legal projects.
  • Leverage AI to build scalable legal processes.

Requirements

  • J.D. from an accredited law school.
  • Active bar membership in good standing, or eligibility to register as in-house counsel in the applicable jurisdiction.
  • 2–3 years of relevant commercial contracting experience at a law firm or in-house.
  • Strong drafting and negotiation skills, with the ability to translate legal risk into practical business terms.
  • Familiarity with limitation of liability, indemnification, warranties, intellectual property ownership and licensing, confidentiality, and termination provisions.
  • Ability to independently manage a high volume of contracts and competing deadlines.
  • Excellent written and verbal communication skills.
  • Strong judgment regarding when to resolve issues independently and when to escalate.
  • Ability to work cross-functionally in a fast-paced environment.

Nice to Have

  • Experience with SaaS, technology, or data privacy agreements.
  • Familiarity with AI tools and using them to improve efficiency.
  • Prior in-house experience or exposure to a startup or high-growth environment.
