Commercial Counsel
Braintrust seeks its first in-house legal hire to lead commercial contracting, enterprise deal support, data privacy, and the development of scalable legal processes. The role requires a California-authorized attorney with 6+ years of relevant experience, including in-house SaaS experience.

Responsibilities
- Negotiate commercial agreements, including SaaS and on-premises agreements, MSAs, NDAs, vendor agreements, consulting agreements, DPAs, and partnership agreements.
- Lead legal support for complex, high-value enterprise sales transactions and work with Sales to close deals.
- Build relationships with customer legal teams to accelerate adoption.
- Develop contract playbooks, template agreements, and streamlined sales processes.
- Implement tools and systems to improve legal visibility and workflows while maintaining deal velocity.
- Support governance, risk, and compliance programs.
- Collaborate with Sales, Finance, HR, Product, and Engineering on legal alignment.
- Advise leadership on commercial legal matters, emerging regulations, market trends, corporate governance, and fundraising.
Requirements
- JD from an accredited law school.
- Admitted to the bar and in good standing in California, or otherwise authorized to practice law through registered in-house status.
- 6+ years of relevant legal experience, including at least 2 years in-house at a high-growth SaaS company.
- Extensive experience with enterprise software agreements and technology transactions.
- Ability to balance legal risk with business objectives and keep deals moving.
- Exceptional written and verbal communication skills.
- Comfortable operating as a team of one while building a scalable legal function.
Nice-to-Haves
- Experience with AI, developer platforms, or cloud infrastructure.
- Familiarity with legal considerations around AI-assisted development and enterprise adoption.
- Experience working with customers in regulated industries such as healthcare or finance.
- Experience building legal processes during a hyper-growth phase.
