About the job

  • Leverage AI agents to generate, compare, and redline fund formation documents, LPAs, subscription agreements, side letters, and tax opinion memoranda.
  • Use AI tools to conduct rapid document reviews, identify key terms and tax provisions, and generate client-facing memos analyzing complex fund structures and investor tax considerations.
  • Integrate AI agents into workflow management across the full fund lifecycle — entity structuring, UBTI/ECI analysis, tax-exempt and non-U.S. investor vehicles, and portfolio transactions.
  • Partner with clients to demonstrate how AI-assisted workflows improve accuracy, transparency, and deal velocity.
  • Work closely with the technology teams to continue to make the fund tax practice even more efficient using AI.

Requirements

  • Juris Doctor (JD); active bar admission in New York.
  • 3–5 years of tax experience at a top law firm, with meaningful exposure to private investment funds (private equity, venture, and/or hedge).
  • Strong technical foundation in partnership tax; familiarity with UBTI, ECI, and fund structuring for diverse investor bases.
  • Interest in building AI-assisted workflows.
  • AI fluency: actively use AI in day-to-day work to support thinking, creation, and problem-solving with concrete examples of tools, workflows, and outcomes.

Nice-to-Haves
