Associate Corporate Counsel

Responsibilities

• Draft, negotiate, review, and interpret commercial agreements, including vendor and other inbound contracts.
• Build and improve contract templates, playbooks, talk tracks, and legal processes.
• Develop, deliver, and refresh training on legal issues, contract best practices, and key negotiating points.
• Provide practical legal analysis, strategy, and guidance to internal clients and cross-functional teams while balancing business objectives and legal risk.
• Manage assigned legal projects through completion.
• Assist with legal research, strategic transactions, and legal escalations.

Requirements

• 3–5 years of legal experience in a law firm or in-house, including commercial contracts experience.
• Membership in at least one state bar.
• Strong drafting skills, both from forms and from scratch, with knowledge of confidentiality, indemnity, termination, representations, and other common contract provisions.
• Excellent negotiation skills, including in non-confrontational and adversarial situations.
• Ability to communicate the implications of legal requirements to internal clients.
• Strong work ethic, high standards, integrity, analytical skills, judgment, and ability to balance risk with business objectives.
• Ability to work independently, identify when to escalate issues, multitask, and adapt in a fast-paced environment.
• Excellent verbal and written communication skills.
• Strong interpersonal skills and a reliable, self-starting, positive, inclusive, and team-oriented approach.

• National total target cash compensation, including base salary and bonus target: $147,157–$210,477 annually.
