Associate Counsel, Commercial

About the role

Responsibilities

  • Review, draft, and negotiate a variety of commercial agreements, including customer agreements, procurement agreements, partnership agreements, and vendor contracts.
  • Partner closely with Sales, Partnerships, Procurement, Security, and other cross-functional teams to provide practical legal advice throughout the deal process.
  • Identify legal risks and recommend commercially reasonable solutions that support business objectives.
  • Help improve the efficiency of contract negotiations by contributing to legal playbooks, templates, and standard contractual language.
  • Support initiatives to streamline legal workflows, including leveraging AI tools and automation where appropriate.
  • Assist with training internal stakeholders on contracting best practices and company legal positions.
  • Contribute to process improvements that help the Legal team scale alongside the business.

Requirements

  • J.D. from an ABA-accredited law school.
  • Licensed to practice law in at least one U.S. jurisdiction.
  • 3–5 years of legal experience, including experience reviewing and negotiating technology, SaaS, data processing, or other commercial agreements.
  • Strong written and verbal communication skills with the ability to explain legal concepts clearly to business partners.
  • Sound judgment and the ability to balance legal risk with business objectives.
  • Strong organizational skills with the ability to manage multiple priorities in a fast-paced environment.
  • A collaborative mindset and willingness to learn from teammates while taking ownership of your work.
  • Interest in using AI and technology to improve legal workflows and team efficiency.

  • In-house experience at a technology or high-growth company.
  • Experience with contract lifecycle management tools such as Ironclad.
  • Experience working with cross-functional teams including Sales, Procurement, Security, or Product.
  • Demonstrated interest in building scalable legal processes and leveraging technology to improve operations.
