About the role
Responsibilities
Draft, review, redline, and negotiate commercial agreements, including customer, partner, vendor, NDA, order form, MSA, DPA, security addendum, amendment, and related agreements.
Support Sales, Partnerships, Finance, Security, Product, Revenue Operations, and Operations with practical, business-oriented legal guidance.
Support enterprise SaaS, cloud, and technology transactions.
Advise on technology partnerships, referral arrangements, reseller and channel relationships, integrations, marketplace arrangements, co-selling motions, and strategic collaborations.
Develop a scalable vendor review process covering intake, risk assessment, approval workflows, fallback positions, and cross-functional reviews.
Advise on data protection, privacy, security, intellectual property, AI/LLM usage, confidentiality, indemnities, limitation of liability, compliance, partner programs, integrations, and vendor risk.
Help implement and operationalize Ironclad, including intake workflows, approval routing, templates, clause libraries, playbooks, reporting, and process improvements.
Identify negotiation patterns and recommend improvements to standard positions, processes, and risk frameworks.
Serve as a trusted legal partner to business stakeholders and help teams evaluate legal and commercial tradeoffs.
Requirements
5–8 years of experience drafting, reviewing, and negotiating commercial technology agreements.
Experience with customer, vendor, partner, NDA, MSA, order form, DPA, security addendum, amendment, and related commercial agreements.
Experience supporting partnerships, alliances, channel, reseller, marketplace, referral, integration, co-sell, or other ecosystem-driven arrangements.
Strong foundation in SaaS, cloud, or technology contracting.
Familiarity with data privacy, security, intellectual property, confidentiality, indemnity, limitation of liability, AI/LLM usage, and compliance issues in a B2B technology environment.
Ability to independently manage negotiations and escalate novel, complex, or higher-risk issues appropriately.
Experience building or improving legal processes, contracting workflows, approval paths, templates, playbooks, vendor review processes, or legal operations infrastructure.
Strong business judgment and ability to balance legal risk with commercial objectives.
Excellent communication skills and comfort advising non-legal stakeholders.
Strong organization, responsiveness, attention to detail, and ability to manage multiple priorities.
Admission to practice law in the applicable jurisdiction; California admission preferred, or ability to register as in-house counsel in California.

In-house experience at a SaaS, infrastructure, AI, cloud, developer tools, enterprise software, or high-growth technology company.
Experience with Ironclad or another contract lifecycle management platform.
Compensation and Benefits
Compensation range: $150,000–$215,000 plus equity.
Compensation includes base salary, variable compensation for relevant roles, equity, benefits, and perks.
Manages the full lifecycle of government contracts supporting a rapidly growing defense business, including proposals, negotiations, pricing, compliance, and close-out. Requires a bachelor’s degree, 5+ years of government-contracts experience, and eligibility for a U.S. security clearance.
