Corporate Counsel

Corporate Counsel will lead M&A, securities, governance, entity management, and other strategic legal matters for a rapidly growing technology company. The role requires a JD, California or New York licensure, and 3–6+ years of corporate legal experience, ideally including in-house technology experience.

About the role

Responsibilities

  • Execute M&A and other strategic transactions, including due diligence, drafting and negotiating definitive agreements, managing post-closing integration matters, and overseeing outside counsel.
  • Support financing activities, stock transfers, equity administration, and corporate governance matters, including investor relations support and board preparation.
  • Support global expansion efforts, including entity formation, subsidiary maintenance, governance, and compliance such as board meetings and annual reporting.
  • Manage real estate transactions.
  • Manage insurance matters.
  • Design, implement, and continuously improve scalable legal processes, templates, and playbooks for corporate and strategic transactions.
  • Partner with stakeholders across Finance, People, and Operations to provide solutions-oriented legal advice and enable business growth.

Requirements

  • JD degree and license to practice in California or New York.
  • 3–6+ years of legal experience with a strong foundation in corporate law.
  • Deep expertise in M&A, securities and equity matters, and corporate governance.
  • Experience supporting fast-growing technology companies, preferably including at least one year in-house.
  • Experience supporting global expansion and multinational corporate structures.
  • Ability to manage competing priorities and think creatively and strategically under tight timelines.
  • Team-focused and collaborative working style.
  • Exceptional communication skills, sound judgment, and the ability to drive stakeholder alignment.

Compensation

  • $168,000–$252,000 USD
