About the role

Responsibilities

  • Negotiate and manage high volumes of pre-M&A contracts, including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters.
  • Liaise directly with counterparties while adhering to agreed turnaround times.
  • Serve as the primary day-to-day contact for clients, building trusted-advisor relationships with investment funds and asset managers.
  • Maintain and update client playbooks to ensure consistency and quality across contract negotiations.
  • Collaborate with and mentor junior lawyers and paralegals, reviewing their work and contributing to a high-performing team culture.
  • Contribute to continuous improvement of the legal technology suite, including identifying opportunities to innovate with AI-backed tools.

Requirements

  • 6–8+ years of post-law-school corporate or transactional experience.
  • Demonstrated ability to independently negotiate pre-M&A contracts, including NDAs, NRLs, joinders, and engagement letters.
  • Experience working with asset managers, investment banks, or other financial services firms.
  • Law degree and license to practice law in the United States or Canada.
  • Commercially minded, client-focused, and able to communicate legal advice clearly and concisely.
  • Comfortable working in a fast-paced environment, prioritizing effectively, and owning work independently.
