Commercial Counsel

Commercial counsel will negotiate complex enterprise SaaS and AI agreements, advise revenue teams, and address privacy, security, and AI regulatory requirements. The role requires bar admission, 10+ years of commercial legal experience, and in-house SaaS or AI experience.

Responsibilities

  • Negotiate SaaS and AI agreements and provide day-to-day commercial legal support for sales, marketing, channel, and customer success teams, primarily across the Americas.
  • Support the Enterprise customer segment and help drive revenue transactions to completion.
  • Collaborate with Product Legal on product and operational matters affecting customer agreements and go-to-market initiatives.
  • Draft and negotiate agreements involving privacy, security, and AI regulatory requirements.
  • Identify and pursue process improvements for buy-side support workflows.
  • Develop and revise contract templates and playbooks as products, organizational needs, and laws evolve.

Requirements

  • Admission to the California State Bar or New York State Bar, or registration as in-house counsel, in good standing.
  • 10+ years of combined experience practicing as a commercial attorney at a law firm or software technology company.
  • 2+ years of in-house experience at a SaaS or AI technology company.
  • Subject-matter expertise in privacy and artificial intelligence, including GDPR, the e-Privacy Directive, CCPA, and the EU AI Act.
  • Experience with commercial, SaaS, and enterprise B2B transactions.
  • Strong negotiation, drafting, written communication, and verbal communication skills.
  • Ability to explain nuanced legal concepts and provide balanced, creative, pragmatic advice.
  • Ability to build trusted relationships with internal and external clients and leaders.
  • Curiosity about AI and willingness to use AI tools; personal AI fluency is required.
  • Resilience, resourcefulness, sound judgment with imperfect information, strategic thinking, and strong collaboration skills.

Nice to Haves

  • Certified Information Privacy Professional certification or equivalent.
  • Experience at a rapidly growing technology company.
  • Experience supporting channel and reseller partnerships.
  • Experience supporting financial services customers.
  • Familiarity with Notion.

Compensation

  • Estimated base salary range: $280,000–$340,000 per year for roles based in San Francisco or New York City.
  • Competitive equity and benefits are also provided.
