Counsel will lead commercial agreements and complex negotiations supporting Fluidstack’s data center buildout, while managing outside counsel and advising business leaders. The role requires an actively licensed attorney with substantial experience handling sophisticated, high-stakes commercial transactions.

Responsibilities

  • Structure, draft, and negotiate commercial agreements supporting data center development across supply chain, manufacturing, and procurement.
  • Lead complex negotiations with sophisticated counterparties, balancing legal risk with business speed.
  • Manage outside counsel across multiple substantive disciplines, maintaining rigor on scope, quality, and spend.
  • Coordinate transactions across supply chain, procurement, and delivery teams to prevent deal delays.
  • Advise business leaders as a strategic partner by anticipating legal and commercial issues and developing solutions.

Requirements

  • Active license to practice law in at least one jurisdiction and ability to meet admission requirements where practicing.
  • Experience independently structuring, drafting, and negotiating complex commercial agreements as lead counsel with sophisticated counterparties.
  • Experience in data center development-related areas such as supply chain, manufacturing, procurement, or technology transactions.
  • Demonstrated sound, commercially pragmatic judgment in ambiguous, high-stakes situations.
  • Experience overseeing outside counsel across multiple disciplines and managing scope, quality, and spend.
  • Excellent written and verbal communication skills, including the ability to translate complex legal issues into executive decisions and next steps.

Nice-to-haves

  • Combination of law firm and in-house experience.
  • Experience using AI to improve legal work and efficiency.
  • In-house experience at a data center developer or cloud company.
