Associate General Counsel, Corporate

Responsibilities

• Manage preparation for board and committee meetings, prepare materials, maintain corporate records and minutes, advise on governance practices
• Oversee corporate structure, subsidiary governance, and ensure compliance with regulatory requirements across all jurisdictions
• Lead legal due diligence, negotiate transaction documents, and manage post-acquisition integration from a legal perspective
• Negotiate and draft complex commercial agreements, financing documents, and other strategic transactions
• Drive Webflow’s public company readiness, including due diligence coordination and working with external counsel
• Lead internal employment function and litigation efforts as they arise
• Develop and implement securities law compliance program and insider trading policies; develop and implement SOX compliance framework (if applicable), including internal controls, disclosure procedures, and certification processes
• Build and lead Webflow’s corporate legal team, manage outside counsel relationships, and optimize and create scalable corporate legal processes and operations

Requirements

• JD degree with at least one active bar membership
• 10+ years of relevant experience, with experience at a nationally-recognized law firm (required), and ideally a mixture of late stage private and public company experience
• Experience with securities laws, corporate governance, M&A transactions, SEC reporting requirements, and SOX requirements
• Experience with driving public company readiness, or managing public company compliance
• Excellent leadership, communication, and project management skills
• Strategic, pragmatic mindset with ability to balance legal risk management with business objectives
• Track record of forming and maintaining strong cross-functional relationships
• Accountable, adaptable, and effective multi-tasker

• Creative thinker who is collaborative and excited to contribute to a lean but growing Legal team on a variety of projects which may fall outside of core expertise

Compensation and Benefits

• Base pay (United States):
  • Zone A: $240,000 - $300,000
  • Zone B: $225,000 - $282,000
  • Zone C: $211,000 - $264,000
• Eligible to participate in company-wide bonus program (target amounts are a percentage of base salary and vary by career level; payouts based on company performance)
