Commercial Counsel
Commercial Counsel will lead complex enterprise technology transactions across EMEA, drafting and negotiating MSAs, enterprise terms, DPAs, and AI-related provisions. The role requires 8+ years of legal experience, SaaS expertise, strong commercial judgment, and the ability to use AI to accelerate deal execution.

Requirements
- 8+ years of legal experience, including 3+ years in SaaS; Series B–D experience preferred.
- Experience handling six-figure enterprise deals, including common sticking points and practical solutions.
- Experience drafting and negotiating MSAs, enterprise terms and conditions, DPAs, and other technology agreements from scratch.
- Familiarity with DORA, the EU AI Act, GDPR, the Data Act, and common contractual frameworks raised during negotiations.
- Ability to navigate AI governance, risk, model-training concerns, and the distinction between LLM providers and AI system deployers.
- Strong commercial judgment and the ability to explain risks and tradeoffs from a business perspective.
- Comfortable making high-stakes decisions with imperfect information and balancing long-term protection with urgency.
- Strong collaboration skills across Sales, Security, Finance, and Product.
- Automation-minded approach, including daily use of AI tools to accelerate drafting and contributions to shared playbooks and repositories.
- Bias toward concise written guidance and quick decision-making.
Responsibilities
- Lead drafting and negotiation of MSAs, enterprise terms and conditions, DPAs, and other technology agreements for the largest and most complex enterprise deals.
- Resolve complex AI-related contractual concerns by proposing practical solutions and driving stakeholder alignment.
- Use Lovable and other AI tools to increase leverage, reduce deal-cycle times, and improve sales velocity.
- Monitor the EU AI Act, GDPR, and Data Act, translating regulatory developments into commercially effective contract positions.
- Maintain clean, documented, and consistent deal records to support audits and expansion.
