Commercial Counsel

About the role

Responsibilities

  • Be the go-to reviewer for all commercial contracting, with primary focus on sales and strong secondary focus on procurement, plus partnerships and cross-functional work.
  • Review, draft, and negotiate customer NDAs, MSAs, Order Forms, and DPAs with focus on speed, commercial pragmatism, and scalability.
  • Develop best-in-class sales enablement, internal guidance, and external collateral.
  • Build efficient processes and smart workflows for scalable commercial contracting, including playbooks, cross-functional enablement, SOPs, and workflows; partner with Legal Ops Manager.
  • Be a responsive, reliable partner to the sales team and internal stakeholders.
  • Manage procurement and vendor contract reviews and negotiations in partnership with business owners to keep marketing, events, and tooling moving quickly.
  • Partner with security, IT, and product to answer prospect and customer questionnaires accurately and promptly; build scalable solutions.
  • Help shape and improve legal operations, including workflows, technology, tools (CLM, CPQ); drive adoption of AI and new tools.
  • Identify and get involved in other legal areas as team bandwidth grows; bring clarity, insight, and ownership.
  • Exercise solid judgment and business acumen, balancing ownership with appropriate escalation.

Qualifications

  • JD from an accredited law school and active license to practice law in the US (or equivalent).
  • 6-8 years of legal experience, with at least 4 years in-house at a start-up or high-growth company, ideally as an early hire.
  • Experience at a SaaS or high-growth tech company, familiar with SaaS business models and contract terms.
  • Demonstrable experience in commercial contract negotiation (customer-side and vendor-side) contributing to growth.
  • Excellent interpersonal skills; enjoy working with sales and cross-functional partners; build trusted relationships.
  • Good judgment to balance legal risk with business objectives.
  • Exceptional written communication; explain concepts in plain, precise language; develop playbooks and enablement materials.
  • Organized; manage multiple deals and priorities while carving out time for projects.

Nice-to-Haves

  • Experience collaborating with a legal operations function.
  • Exposure to AI regulations, privacy, and data protection frameworks (DPAs, GDPR, CCPA).
  • Experience building or scaling contract operations, including implementing legal tech tools.
