About the role

Responsibilities

  • Lead customer, procurement, and strategic commercial negotiations from intake through signature.
  • Draft, review, and negotiate software, SaaS, hybrid cloud, cloud services, AI-related offerings, professional services, data processing, strategic partnership, and enterprise commercial agreements.
  • Advise Cloud Sales, Product, Digital Infrastructure, Customer Success, Security, Finance, Procurement, and other stakeholders on commercial, operational, and strategic issues.
  • Manage legal risk while supporting business growth and challenging contract volumes.
  • Improve contracting processes through standard forms and playbook variations.
  • Use and evaluate AI legal technology tools to improve efficiency.
  • Lead and support strategic pricing initiatives, pricing governance, and commercial model optimization.
  • Participate in internal approval workflows, prioritize contracts, and respond to stakeholder and client questions.

Requirements

  • Juris Doctor (J.D.) from an accredited law school.
  • Active bar admission in good standing.
  • 8+ years of relevant in-house and/or law firm experience supporting technology transactions.
  • Extensive experience negotiating SaaS, software, cloud services, professional services, data processing, strategic partnership, and enterprise commercial agreements.
  • Strong understanding of cloud services, software licensing, information security, privacy, intellectual property, regulatory considerations, and AI-enabled products.
  • Demonstrated ability to draft and negotiate complex software, SaaS, hybrid cloud, master, professional services, and software development agreements.
  • Strong business judgment, negotiation, communication, organization, responsiveness, and attention to detail.
  • Proficiency with AI and legal technology tools, Microsoft 365 or Google Workspace, and contract management software such as Ironclad.

Nice to Have

  • Knowledge of data privacy laws and practices in SaaS environments involving customer data and personal information.
  • Understanding of software development, SaaS infrastructure and services, open-source communities, and intellectual property concepts and laws.
  • Experience at a startup, AI company, digital infrastructure company, or high-growth venture business.

  • Compensation range of $240,000–$285,000, plus bonus.
