Commercial Counsel

About the role

Responsibilities

  • Review and negotiate commercial agreements, working cross-functionally to balance legal risk with business outcomes and tailor guidance based on context and deal stage.
  • Build relationships across the company and serve as a solutions-oriented partner to sales teams, providing guidance based on technology, market norms, and experience.
  • Define excellent legal team practices in a hypergrowth startup, establishing working norms and processes for top-tier service.
  • Design, update, and enforce policies and controls over the contracting process.
  • Grow with the team as the company scales, taking on new challenges outside of commercial legal as appropriate.

Requirements

  • Qualified attorney with 4-8+ years of legal experience, including time at a top-tier law firm and/or relevant in-house role.
  • Deep experience drafting, negotiating, and closing a high volume of commercial agreements, including SaaS, MSAs, SOWs, NDAs, DPAs, and partner/reseller deals.
  • Fluency in legal frameworks (GDPR, CCPA, HIPAA), security concepts, AI governance, and intellectual property concerns in SaaS transactions.
  • Ability to balance legal risk with business outcomes and tailor guidance based on context and deal stage.
  • Thrive in cross-functional environments as the go-to legal resource for Sales, Finance, Product, and RevOps.
  • Clear and effective communication, translating legal complexity into actionable guidance for non-legal stakeholders and counterparties.
  • Flexible, eager to learn, and energized by fast growth, ambiguity, and building scalable legal systems.

Nice-to-Haves

  • In-house legal experience at a high-growth SaaS or technology company.
  • Process-building mindset with experience working with RevOps or LegalOps on CLM tools and Salesforce integrations.
  • Experience leading customer-facing contract negotiations with enterprise clients, especially highly-regulated customers (financial services, healthcare, SLED & FED).
  • Experience negotiating AI terms with counterparties and articulating common issues concisely.
  • Built and maintained legal playbooks, fallback clause libraries, and approval workflows.
  • Trained commercial teams on contract review, negotiation strategy, or compliance topics; eager to mentor junior colleagues.

Compensation

$235,000 — $300,000 + Equity
