About the role

Responsibilities

  • Negotiate and manage high volumes of pre-M&A contracts – including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters – directly liaising with counterparties and adhering to agreed turnaround times
  • Serve as the primary day-to-day contact for clients, building trusted advisor relationships with sophisticated investment funds and asset managers
  • Maintain and update client playbooks on an ongoing basis, ensuring consistency and quality across all contract negotiations
  • Collaborate with and mentor junior lawyers and paralegals, reviewing their work and contributing to a high-performing team culture
  • Contribute to the continuous improvement of Carta's legal technology suite, identifying ways to innovate using AI-backed tools

Requirements

  • 6-8+ years of post law school corporate or transactional experience, with a track record of independently negotiating pre-M&A contracts (NDAs, NRLs, joinders, engagement letters)
  • Experience working with asset managers, investment banks, or other financial services firms and understand their expectations
  • Licensed to practice law in the Americas (US/Canada)
  • Commercially minded and client-focused; communicate legal advice crisply and concisely
  • Tech-savvy and adaptable; comfortable working with and evolving a legal technology suite (e.g. AI tools, HighQ)
  • Self-starter who owns their work; thrives in a fast-paced environment, prioritizes effectively, and is always looking for ways to improve and innovate
