## Job Description

## Responsibilities
- Support corporate governance and Board of Directors activities, including preparing resolutions, minutes, written consents, meeting materials, corporate records, and filings.
- Assist with preparation for a potential initial public offering, including securities-law compliance, SEC regulations, corporate governance structures, and internal controls.
- Following a potential IPO, assist with SEC periodic filings, exchange-rule compliance, and quarterly earnings materials.
- Provide legal support for strategic corporate transactions and financing events, including due diligence, transaction documents, and deal closings.
- Support management of U.S. and international subsidiaries and affiliated entities, including entity formation, dissolution, and corporate-structure changes.
- Monitor corporate and securities laws, SEC rules, and stock-exchange governance standards.
- Develop and maintain corporate policies and governance programs.
- Collaborate with Finance, HR/People, Stock Administration, Compliance, senior management, and other cross-functional teams.
- Handle special projects and ad hoc legal matters.

## Requirements
- 4+ years of relevant experience at a law firm or as in-house counsel.
- Juris Doctor degree.
- Admission to the U.S. Bar in at least one state.
- Strong interest in fintech.
- Strong written and verbal communication skills.
- Excellent legal and business judgment.
- Experience working with senior management and cross-functional teams in a fast-paced environment.
- Ability to manage a high volume of tasks, shift priorities quickly, and execute with strong organization and attention to detail.
- Proactive, resourceful, flexible approach to varied legal projects.

## Compensation and Benefits
- Annual salary range of $188,000–$250,000.
- Additional compensation may include equity and/or commission.
- Comprehensive benefits including medical, dental, vision, and 401(k).
