> Corporate Counsel, M&A will lead strategic transactions for a high-growth technology company, from diligence through closing and integration. The role requires a JD, U.S. bar membership, substantial M&A experience, and expertise advising technology companies on domestic and cross-border deals.

## Job Description

## Responsibilities
- Lead legal workstreams for acquisitions, acquihires, minority investments, joint ventures, and other strategic transactions from due diligence through closing and post-closing integration.
- Draft, review, and negotiate letters of intent, purchase agreements, ancillary agreements, and closing documentation.
- Manage and coordinate due diligence, including cross-functional teams and third-party advisors.
- Advise on deal structuring, risk allocation, purchase-price mechanics, indemnification, and other transaction terms.
- Prepare transaction materials for executive leadership and, when needed, the Board.
- Manage outside counsel, including staffing, budgets, and work-product quality.
- Represent Legal in post-closing integration activities.
- Build and maintain standardized M&A processes, playbooks, and templates.
- Support other corporate matters as needed.

## Requirements
- JD from an accredited law school.
- Active membership in at least one U.S. state bar.
- Experience drafting and negotiating M&A transaction documents.
- Deep understanding of stock purchases, asset purchases, mergers, acquihires, minority investments, and joint ventures.
- Experience with domestic and cross-border transactions.
- Experience advising technology companies and startups.

## Preferred Qualifications
- 5–8 years of M&A legal experience at a nationally recognized law firm and/or high-growth technology company.
- Experience with public-company securities-law compliance and SEC reporting.
- Experience with equity-compensation matters in transactions.
- Experience with AI, machine learning, or emerging-technology companies.
- Experience building M&A playbooks, templates, or processes on a lean team.
- Exceptional analytical, drafting, negotiation, and communication skills.
- Ability to translate complex legal issues into clear, practical advice.
- Ability to manage multiple transactions and priorities in a fast-paced environment.
- Independent, self-directed approach and effective collaboration with internal and external stakeholders.

## Compensation
- Annual salary: **$265,000–$335,000 USD**.
