## Job Description

## Responsibilities
- Advise on commercial matters as a legal partner to Sales, Customer Success, Finance, Security, and Product teams, including deal structure, contract negotiations, risk, and compliance.
- Review, draft, negotiate, and interpret technology and commercial contracts, including SaaS agreements, partner and reseller agreements, NDAs, evaluation agreements, and vendor contracts.
- Identify and resolve legal and regulatory risks related to intellectual property, licensing, data use, privacy, and compliance in commercial contracts.
- Develop expertise in the company's products and business models and help bring new offerings to market.
- Identify risks and provide creative, pragmatic mitigation solutions.
- Prepare, maintain, and improve template agreements, playbooks, and operational guidance.
- Use AI tools for contract drafting, redlining, and review, and identify opportunities for further automation.
- Ensure customer contract data-use terms align with rights secured under underlying data-acquisition and vendor agreements, coordinating with relevant legal, data, product, and privacy teams.

## Requirements
- JD from an accredited law school and active Bar membership in good standing.
- 4–8 years of post-JD experience independently negotiating SaaS, technology, licensing, partner, and vendor agreements with minimal oversight.
- Working knowledge of consumer data privacy laws relevant to commercial contracting, including CCPA/CPRA, GLBA, and FCRA.
- Ability to independently manage multiple projects with varying deadlines and make decisions under ambiguity.
- Pragmatic, solution-oriented approach focused on closing deals.
- Adaptability in a fast-paced, dynamic environment.
- Collaborative partnership and diplomatic communication skills.
- Willingness to use and help refine AI-supported legal workflows.

## Nice to Haves
- Law firm, data use or licensing, and fintech experience.
- Experience with public-sector sales contracting, including SLED or federal sales, RFP/RFx responses, or government procurement processes.
- Drive for continuous improvement and willingness to voice opinions.
- Experience working at a fast-growing startup.
