## Job Description

## Responsibilities
- Negotiate and manage high volumes of pre-M&A contracts, including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters.
- Liaise directly with counterparties while adhering to agreed turnaround times.
- Serve as the primary day-to-day contact for clients, building trusted-advisor relationships with investment funds and asset managers.
- Maintain and update client playbooks to ensure consistency and quality across contract negotiations.
- Collaborate with and mentor junior lawyers and paralegals, reviewing their work and contributing to a high-performing team culture.
- Contribute to continuous improvement of the legal technology suite, including identifying opportunities to innovate with AI-backed tools.

## Requirements
- 6–8+ years of post-law-school corporate or transactional experience.
- Demonstrated ability to independently negotiate pre-M&A contracts, including NDAs, NRLs, joinders, and engagement letters.
- Experience working with asset managers, investment banks, or other financial services firms.
- Law degree and license to practice law in the United States or Canada.
- Commercially minded, client-focused, and able to communicate legal advice clearly and concisely.
- Comfortable working in a fast-paced environment, prioritizing effectively, and owning work independently.

## Nice-to-Haves
- Experience with legal technology or AI tools.
- Familiarity with HighQ.
