## Job Description

## Responsibilities
- Manage corporate entity governance and maintenance for domestic and foreign entities.
- Prepare board materials, written consents, resolutions, certifications, minutes, and other corporate documentation.
- Support legal aspects of special projects, including financings, real estate, insurance, and mergers and acquisitions, including transaction documents, due diligence, and ongoing obligations.
- Support the compliance function by maintaining the policy database and providing guidance on legal processes and procedures.
- Draft and maintain employment-related documents.
- Conduct legal research and benchmarking.
- Respond to internal and external legal inquiries, including vendor KYC requests.
- Collaborate with the legal team and other company departments on special initiatives.
- Provide operational support to the legal team, such as managing legal subscriptions.

## Requirements
- Minimum five years of corporate paralegal experience in a law firm or technology company, with broad experience in corporate governance, securities, employment, and strategic transactions.
- Registered notary.
- Bachelor's degree; paralegal certificate is a plus.
- Self-motivated, organized, proactive, and detail-oriented.
- Strong problem-solving skills and the ability to work in a fast-paced environment and adapt to changing priorities.
- Service-oriented attitude and collaborative, team-focused working style.
- Willingness to build expertise and solve new challenges in an evolving legal practice.

## Nice-to-Haves
- Experience with private-company employee equity and cap table management software, such as Carta, or willingness to learn.

## Compensation
- **$108,700–$163,100 USD**, depending on location.
