## Job Description

## Responsibilities
- Draft and negotiate enterprise customer agreements, data-licensing deals, vendor contracts, NDAs, and partnership agreements.
- Partner with sales and business development during live negotiations and bring matters through signature.
- Advise on data rights, privacy, confidentiality, security, intellectual property, indemnification, and limitations of liability.
- Work with product and engineering on data-access and AI-related questions.
- Build and maintain contract templates, playbooks, fallback positions, and approval thresholds.
- Support compliance programs and company policies.
- Identify issues requiring escalation to the General Counsel, senior counsel, or outside counsel.
- Provide broader legal support as the company grows.

## Requirements
- 3–8 years of commercial, technology, or product counseling experience.
- Demonstrated experience negotiating technology agreements directly with counterparties.
- Ability to independently manage matters from initiation through signature.
- Strong judgment about when to escalate novel or higher-risk issues.
- Practical, actionable business judgment and risk assessment.
- Ability to communicate effectively with engineers, salespeople, and other non-lawyers.
- Heavy use of AI in legal practice and interest in advancing AI-enabled legal work.
- Membership in good standing in at least one U.S. state bar.
- Legal authorization to work in the United States; visa sponsorship is not currently available.

## Nice-to-haves
- J.D. from a T14 law school or comparable academic credentials.
- Experience at an Am Law 100 or similarly sophisticated firm.
- Experience with data licensing, privacy, intellectual property, or data-access matters.

## Compensation & Benefits
- $251,000–$272,000 annual salary for U.S.-based employees in San Francisco, plus eligibility for up to $50,000 in semi-annual performance bonuses, totaling up to $100,000 annually.
