## Job Description

## Responsibilities
- Support review and negotiation of prime contracts, subcontracts, strategic partnership agreements, and supplier agreements, including FAR-based contracts, OTAs, software licensing agreements, and teaming agreements.
- Interpret and explain solicitation and contract requirements for government contractors, including cybersecurity and export control compliance.
- Review and negotiate vendor and supplier agreements for software, hardware, and services.
- Support international growth by analyzing foreign government bid and contract requirements.
- Develop and implement scalable legal operations processes, programs, and tools for the government and defense team.
- Lead compliance activities, reporting requirements, and internal investigations.
- Assist in drafting company policies and preparing employee government-contract and compliance training.
- Support additional legal-team priorities in a high-growth startup.

## Requirements
- Experience with diverse U.S. Government contract types, including FFP, T&M, and CPFF.
- Experience with FAR-based contracts, Other Transaction Authority agreements, subcontracts, and software licenses.
- In-depth knowledge of government procurement laws and processes, including FAR and DFARS, especially data rights and intellectual property protections.
- Experience supporting proposal development, including scope and pricing structure and proposal compliance requirements.
- Experience guiding compliance with export control regulations, including EAR and ITAR, and requirements for handling Controlled Unclassified Information.
- J.D. degree from an accredited law school.
- Active membership in one state bar.
- At least 5 years of relevant experience.
- Ability to travel.
- U.S. citizenship.
- Must hold or be eligible to obtain and maintain a U.S. security clearance.

## Nice-to-Haves
- Experience in a law firm, in-house legal team, and/or Department of War environment.
- Experience with international defense contracts, particularly in the UK or APAC.

## Compensation and Benefits
- Base salary range: $200,000–$280,000.
- Total compensation may include equity in the form of options or restricted stock units.
