## Job Description

## Responsibilities
- Own the full contract lifecycle for customer and vendor agreements, including drafting, negotiation, redlining, execution, and system integration.
- Negotiate pharma and biopharma collaboration, clinical trial services, data licensing, and real-world data/evidence agreements.
- Lead negotiations for SaaS and platform subscriptions, licensing, device supply, reseller, distribution, and health-system or academic-medical-center partnerships.
- Support commercialization of FDA-cleared devices by incorporating regulatory cooperation and quality provisions into commercial agreements.
- Negotiate and manage supplier and vendor contracts, including HIPAA business associate agreements.
- Advise on data ownership, licensing scope, secondary use, and restrictions involving EEG, sleep, and clinical data.
- Flag privacy issues under HIPAA and GDPR and escalate matters to the General Counsel.
- Maintain contract templates, playbooks, negotiation positions, repositories, renewals, milestones, and expirations.
- Partner cross-functionally to keep deals moving and provide plain-English guidance on contract terms and risk.

## Requirements
- 5–8+ years negotiating commercial agreements in-house, at a law firm, or in a paralegal or contracts role supporting life sciences, health tech, or SaaS.
- Independent negotiation of customer-facing SaaS, services, or life sciences collaboration agreements from first draft through signature.
- Strong understanding of data ownership, licensing scope, use restrictions, and commercial value.
- Working familiarity with HIPAA and GDPR issues in commercial contracts.
- Excellent contract drafting and plain-English negotiation skills.
- Ability to work independently in a lean legal function and report to the General Counsel.
- Based in the continental United States.

## Nice to Have
- Paralegal certification or contracts management credential.
- Experience in life sciences, pharma/biopharma, medical devices, or digital health.
- Clinical trial or CRO-style services agreement experience.
- Familiarity with CLM tools such as Ironclad.
- Experience with RWD/RWE licensing structures.
- Exposure to FDA medical-device considerations, including 510(k) clearance, in commercial agreements.
